Patented Tools and Private-Label Products

These Private-Label / Patent Terms govern the sale, supply, private-labeling, purchase, use, resale, and distribution of patented tools and related products sold by Wesley Johnson, Wesley K. Johnson DBA/HexSizer, including products bearing another company’s branding, label, or trade name.

By purchasing, reselling, distributing, labeling, accepting delivery of, or using such products, the purchaser, reseller, distributor, private-label customer, and any related party agree to these Terms.

  1. Ownership of Patents and Product Rights

All right, title, and interest in and to the patented tools and related products, including all patents, patent rights, patentable features, inventions, designs, product configurations, trade dress, manufacturing know-how, tooling, specifications, drawings, and related intellectual property, remain the sole and exclusive property of Wesley Johnson, Wesley K. Johnson DBA/HexSizer or its licensors.

A private-label arrangement does not transfer ownership of the product, the invention, the design, the patent rights, the manufacturing rights, or any underlying intellectual property.

No customer or private-label buyer receives ownership, shared ownership, inventorship, manufacturing rights, or any implied license except as expressly stated in a separate signed written agreement.

  1. Limited Rights Granted

If Wesley Johnson, Wesley K. Johnson DBA/HexSizer supplies patented products under another company’s label or branding, the customer receives only the limited rights expressly stated in the written supply or private-label agreement.

Unless expressly granted in writing, the customer does not have the right to:

  • manufacture the product
  • have the product manufactured by another supplier
  • copy the product
  • modify or redesign the product for commercial use
  • reproduce the product or its protected features
  • create derivative or substantially similar products
  • claim ownership or co-ownership of the product or underlying rights
  1. Prohibited Conduct

The following are strictly prohibited unless expressly authorized in a signed written agreement:

  • reverse engineering the product
  • copying or replicating the patented product or its protected features
  • using the product as a sample or model to create the same or a substantially similar item
  • hiring another manufacturer to reproduce the product
  • creating derivative or competing versions based on the product
  • filing patent, design, or other intellectual property claims based on the product or related proprietary information
  • misrepresenting the product as owned, invented, or developed by the buyer
  1. No Unauthorized Overage Production

Any production in excess of the quantity expressly ordered or authorized by Wesley Johnson, Wesley K. Johnson DBA/HexSizer, including overruns, extra units, factory extras, duplicate runs, unreported excess production, or off-the-books manufacturing, is strictly unauthorized.

Unauthorized overage production, possession, distribution, or sale of such units is prohibited and may constitute patent infringement, breach of contract, unfair competition, misappropriation, and other violations of law.

No private-label customer, reseller, factory, contract manufacturer, distributor, or agent may authorize, permit, retain, sell, or distribute unauthorized overage units.

  1. No Implied Manufacturing or Resourcing Rights

A purchase order, supply relationship, private-label arrangement, or history of prior sales does not grant the buyer any right to source the same or similar product from another factory, supplier, or manufacturer.

All manufacturing rights remain exclusively with Wesley Johnson, Wesley K. Johnson DBA/HexSizer unless expressly granted in a separate signed written agreement.

  1. Confidential and Proprietary Information

Any non-public information relating to the patented tools or private-label products, including dimensions, specifications, tolerances, files, drawings, sourcing methods, manufacturing processes, packaging methods, and development details, is confidential and proprietary.

Such information may not be used to compete with, copy, reproduce, or bypass Wesley Johnson, Wesley K. Johnson DBA/HexSizer.

  1. Consequences of Unauthorized Use

Any unauthorized copying, reverse engineering, derivative production, overage production, unauthorized manufacturing, or sale of substantially similar items is a material violation of these Terms and may also constitute patent infringement, breach of contract, unfair competition, and other violations of law.

In the event of unauthorized use, Wesley Johnson, Wesley K. Johnson DBA/HexSizer may pursue all lawful remedies, including:

  • immediate termination of supply or private-label rights
  • cancellation of pending orders
  • refusal of future sales
  • cease-and-desist demands
  • seizure, return, or destruction of unauthorized units
  • injunctive relief
  • recovery of actual damages, lost profits, and enhanced damages where allowed
  • recovery of attorneys’ fees, costs, and enforcement expenses where allowed by law
  • claims against all responsible parties involved in the unauthorized production, sale, or distribution
  1. No Waiver

Failure to enforce any provision of these Terms does not waive Wesley Johnson, Wesley K. Johnson DBA/HexSizer’s right to enforce that provision or any other provision in the future.

  1. Reservation of Rights

All rights not expressly granted are reserved by Wesley Johnson, Wesley K. Johnson DBA/HexSizer.
